1. About BVG Consulting
BVG Consulting is a sole proprietorship operated by Bram van Gelder, registered in the Netherlands (KvK: 98828673, BTW: NL005356701B25), with its principal place of business in Hoef & Haag, Utrecht, The Netherlands. BVG Consulting provides independent technical advisory, feasibility studies, and consulting services in the field of membrane and process technology.
2. Applicability
These terms and conditions apply to all offers, quotations, assignments, and agreements between BVG Consulting and the client. Any deviations from these terms are only valid if agreed upon in writing.
By engaging BVG Consulting or submitting an enquiry via this website, the client accepts these terms and conditions.
3. Offers and agreements
All offers and quotations from BVG Consulting are without obligation and are valid for 30 days unless stated otherwise. An agreement is established when BVG Consulting confirms an assignment in writing, or when BVG Consulting commences the agreed work.
4. Execution of services
BVG Consulting will perform its services to the best of its knowledge and ability, in accordance with the standards applicable in its field. All assignments are carried out on a best-efforts basis. BVG Consulting does not guarantee any specific outcome or result unless explicitly agreed in writing.
BVG Consulting reserves the right to engage third parties where necessary to carry out the assignment.
5. Client obligations
The client is responsible for providing BVG Consulting with all information and documents reasonably required for the proper execution of the assignment, in a timely manner. BVG Consulting is not liable for any damages resulting from incorrect or incomplete information provided by the client.
6. Fees and payment
Fees are agreed upon in advance and stated in the relevant quotation or engagement letter. Unless agreed otherwise, invoices are payable within 30 days of the invoice date. In the event of late payment, BVG Consulting reserves the right to charge statutory commercial interest and reasonable collection costs.
BVG Consulting is registered for VAT purposes in the Netherlands. VAT will be charged where applicable under Dutch and EU law.
7. Confidentiality
BVG Consulting treats all information shared by the client as strictly confidential and will not disclose it to third parties without the client's prior written consent, except where required by law or by court order.
The client agrees to treat all reports, advice, analyses, and other deliverables from BVG Consulting as confidential and not to share these with third parties without prior written consent.
8. Intellectual property
All reports, analyses, and other materials produced by BVG Consulting remain the intellectual property of BVG Consulting until full payment has been received. Upon payment, the client receives a non-exclusive licence to use the deliverables for the agreed purpose.
The client is not permitted to reproduce or make available deliverables to third parties for commercial purposes without BVG Consulting's prior written consent.
9. Liability
BVG Consulting's liability for damages resulting from the execution of an assignment is limited to the fee paid for that specific assignment. BVG Consulting is not liable for indirect damages, consequential damages, lost profits, or damages resulting from third-party actions.
These liability limitations do not apply in cases of intent or gross negligence on the part of BVG Consulting.
10. Force majeure
BVG Consulting is not obliged to fulfil any obligation if prevented from doing so by circumstances beyond its reasonable control, including but not limited to illness, technical failures, or government measures.
11. Termination
Either party may terminate the agreement with written notice. Work performed up to the date of termination will be invoiced. BVG Consulting reserves the right to invoice reasonable costs for work in progress that cannot be reassigned.
12. Governing law and disputes
These terms and conditions are governed by Dutch law. Any disputes arising from or in connection with these terms will be submitted to the competent court in Utrecht, The Netherlands, unless the parties agree to an alternative dispute resolution method.
13. Changes to these terms
BVG Consulting reserves the right to amend these terms and conditions. The most current version is always available on this website. Changes take effect 30 days after publication, unless a shorter period is legally required.
